These Website Terms and Conditions (“Terms”) govern your access to and use of mysmeleader.com and any content, functionality and services offered on or through it (the “Website”).

These Terms refer to the following additional documents, which also apply to your use of the Website:

  • our Privacy Policy, setting out how we handle personal data;
  • our Cookie Policy, setting out how we use cookies and similar technologies.

Separate programme terms. These Terms cover use of the Website only. If you subscribe to the mySMEleader leadership programme, that subscription is governed by our separate Programme Terms and Conditions, which are provided at the point of enrolment and which prevail over these Terms in the event of any conflict relating to the programme itself.

3. Changes to these Terms and to the Website

We may revise these Terms at any time by amending this page. Please check this page from time to time; the “last updated” date shows when the current version took effect. Your continued use of the Website after a change takes effect constitutes acceptance of the revised Terms.

We may also update, change, suspend or withdraw all or any part of the Website without notice. We do not guarantee that the Website, or any content on it, will always be available or uninterrupted.

4. Accessing the Website

  • Access to the Website is provided free of charge and on a temporary basis.
  • We reserve the right to withdraw or amend the Website, and any service or material we provide on it, in our sole discretion and without notice.
  • You are responsible for making all arrangements necessary to access the Website, including your own internet connection and equipment.
  • You are responsible for ensuring that everyone who accesses the Website through your internet connection is aware of these Terms and complies with them.
  • If you are given, or choose, a user identification code, password or other piece of information as part of our security procedures, you must treat it as confidential and must not disclose it to any third party. We may disable any such credential at any time if, in our reasonable opinion, you have failed to comply with these Terms.

5. Acceptable use

You may use the Website only for lawful purposes. You may not:

  • use the Website in any way that breaches any applicable law or regulation, or that is fraudulent or has any fraudulent purpose or effect;
  • use the Website to send, knowingly receive, upload, download or use any material that does not comply with our content standards in Section 6;
  • transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material;
  • knowingly transmit any data or material that contains viruses, trojans, worms, logic bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code;
  • attempt to gain unauthorised access to the Website, the server on which it is stored, or any server, computer or database connected to it;
  • attack the Website via a denial-of-service or distributed denial-of-service attack;
  • reproduce, duplicate, copy, re-sell or otherwise commercially exploit any part of the Website except as expressly permitted by these Terms;
  • access without authority, interfere with, damage or disrupt any part of the Website, its software, hardware, network or equipment;
  • use any robot, spider, automated data-collection tool or other automated means to access, index or extract content from the Website, or use Website content to train machine-learning or artificial-intelligence models, without our prior written consent.

Breaching this section may constitute a criminal offence under the Computer Misuse Act 1990. We may report any such breach to the relevant law-enforcement authorities and will co-operate with them by disclosing your identity. In the event of a breach, your right to use the Website will cease immediately.

6. Content standards for material you submit

If you submit any material to the Website or to us through it — for example via an enquiry form, comment, review or testimonial (each a “Contribution”) — you warrant that the Contribution:

  • is accurate where it states facts, and genuinely held where it states opinions;
  • complies with all applicable law in the UK and in any country from which it is posted;
  • is not defamatory, obscene, offensive, hateful, inflammatory, discriminatory, threatening or harassing;
  • does not infringe any third party’s copyright, database right, trade mark or other intellectual property right;
  • does not breach any legal duty owed to a third party, such as a duty of confidence or a contractual duty;
  • does not promote unlawful activity, impersonate any person, or misrepresent your identity or affiliation.

We may remove or edit any Contribution at our discretion, and we are not obliged to publish or retain any Contribution.

You grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce and publish any Contribution for the purposes of operating and promoting the Website and our services, including on social media, and you waive any right to be identified as its author. Where a Contribution is a testimonial, we will attribute it as provided unless you tell us otherwise.

7. Intellectual property rights

We are the owner or licensee of all intellectual property rights in the Website and in all material published on it, including text, graphics, logos, images, video, module descriptions, frameworks, methodologies and course materials. These works are protected by copyright, trade mark and other laws worldwide. All such rights are reserved.

The names mySMEleader and mySMEleader Ltd, together with our logos and branding, are our marks. You may not use them without our prior written permission.

You may print one copy and download extracts of any page for your own personal, non-commercial reference, and you may draw the attention of colleagues within your organisation to content on the Website.

You must not:

  • modify paper or digital copies of any material you have printed or downloaded;
  • use any illustration, photograph, video, audio or graphic separately from any accompanying text;
  • use any part of the content on the Website for commercial purposes without a licence from us;
  • reproduce our programme content, frameworks or materials for the purpose of delivering training or learning to any third party.

Our status as authors of content on the Website must always be acknowledged. If you print, copy or download any part of the Website in breach of these Terms, your right to use the Website will cease immediately and you must, at our option, return or destroy any copies you have made.

8. No reliance on information

The content on the Website is provided for general information only. It is not advice on which you should rely, and it does not constitute legal, financial, tax, employment, regulatory or other professional advice. Leadership and business content is inherently general and may not suit your particular circumstances.

You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of content on the Website.

Although we make reasonable efforts to keep the Website up to date, we make no representations, warranties or guarantees, whether express or implied, that the content is accurate, complete or current.

We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty or otherwise, arising under or in connection with:

Where you are a consumer, this section does not affect your statutory rights, and we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill.

Business users acknowledge that the Website is provided for general information and that we have no liability for any loss arising from its use in the course of business.

We assume no responsibility for the content of websites linked from the Website. Such links should not be interpreted as endorsement. We will not be liable for any loss or damage arising from your use of them.

We are not liable for any loss or damage caused by a virus, distributed denial-of-service attack or other technologically harmful material that may infect your equipment as a result of your use of the Website or of any material downloaded from it. You should use your own virus protection software.

13. Suspension and termination

We may suspend or terminate your access to the Website immediately, without notice, if we reasonably believe you have breached these Terms. On termination, the rights granted to you under these Terms will end, and you must cease all use of the Website.

We process personal data in accordance with our Privacy Policy and applicable data protection law, including the UK GDPR and the Data Protection Act 2018.

15. General

  • Entire agreement. These Terms, together with the policies referred to in Section 2, constitute the entire agreement between you and us in relation to your use of the Website.
  • Severability. If any provision of these Terms is found to be unlawful, void or unenforceable, that provision will be severed and the remaining provisions will continue in full force.
  • No waiver. Any delay or failure by us to enforce a provision of these Terms is not a waiver of our right to do so later.
  • Assignment. We may transfer our rights and obligations under these Terms to another organisation. You may not transfer yours without our written consent.
  • Third parties. These Terms are between you and us. No other person has any right to enforce them.

16. Governing law and jurisdiction

These Terms, their subject matter and their formation are governed by English law.

If you are a consumer, you and we both agree that the courts of England and Wales will have exclusive jurisdiction, except that if you are resident elsewhere in the UK you may also bring proceedings in your country of residence.

If you are a business, you and we agree to the exclusive jurisdiction of the courts of England and Wales.
